Platform Materials

The Materials are safeguarded by copyrights, trademarks, service marks, trade dress and other intellectual or ownership rights owned by Office146. Any rights not explicitly granted in the Usage Agreement are reserved for Office146.

All Office146 trademarks, logos, and designs appearing on any of the Office146 Platforms are the exclusive trademarks and service marks (either directly or indirectly) of Office146. No license to or right in any such marks, logos, designs and other proprietary rights of Office146 is bestowed upon or transferred to you.

All other trademarks and service marks appearing on any of the Office146 Platforms that are not owned by Office146 are the property of their respective owners.

Platform Use and Limitations

This Platform and its Materials may be utilized solely for your individual, non-commercial use. Any other use of the Platform or the Materials is strictly forbidden, including, without limitation, modification, removal, deletion, transmission, publication, distribution, proxy caching, uploading, posting, redistribution, re-licensing, selling, duplicating, republication or any other dissemination without the explicit written permission of Office146 or the owner. You are not permitted to use any framing techniques to enclose any trademarks or logos of Office146 nor use any meta tags or any other hidden text without our prior written consent. You are not allowed to link to the Platform without our prior written consent. Use of spiders, robots and similar data gathering and extraction tools is expressly prohibited.

You may view and print a copy of the Materials displayed on the Platform, and download a copy of any Materials that is designated for downloading, for your personal use only but you may not alter the Materials in any way, including, without limitation, removing or modifying any copyright or other ownership notices. The rights, title and interest in the Materials are not transferred to you by copying or downloading the material. The information provided on this Platform is free of charge and for informational purposes only and does not create a business or professional services relationship between you and Office146.

Online Conduct

You agree to use the Platform only for lawful purposes. You are prohibited from posting or transmitting to or through the Platform any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, profane, hateful material, or any other material that could give rise to civil or criminal liability under the law. We may disclose any content or electronic communication of any kind (including your profile, e-mail address and other information) (1) to satisfy any law, regulation, or government request; (2) if the disclosure is necessary or appropriate to operate the Platform; or (3) to protect the rights or property of Office146, its affiliates, and you.

Reliability of Information

Office146 makes reasonable efforts to provide accurate and current information, but we do not guarantee that any information on this Platform is accurate, complete, reliable, current or error-free or that the Platform will be free from viruses. We also are not responsible for any errors or omissions on this Platform. While we may modify the Materials, make improvements to the Platform or correct any error or omission at any time without notice to you, we are under no obligation to do so. We will strive to update information promptly, but we will not be responsible for any inaccuracies. Any use you make of the information provided on this Platform is entirely at your own risk, and Office146 will not be liable for any loss of data, lost profits or any other damages or losses resulting from your use of this Platform.

OFFICE146 WILL NOT BE LIABLE FOR LOSSES OR DAMAGES ARISING OUT OF OR ANY WAY RELATED TO ANY THIRD PARTY WEB PLATFORMS OR THEIR CONTENT ACCESSED THROUGH LINKS IN THIS PLATFORM, YOUR USE OF THIS PLATFORM OR YOUR USE OF ANY EQUIPMENT OF SOFTWARE IN CONNECTION WITH THIS PLATFORM.

Certain laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers, exclusions or limitations may not apply but liability shall be limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify and hold harmless Office146 from any third party claim, action, demand, loss or damages (including attorneys’ fees and costs) arising out of or relating to your violation of these Usage Agreement, your use of the Platform or your violation of any rights of a third party.

Remedies for Violations

Office146 reserves the right to seek all remedies available at law and in equity for violations of these Usage Agreement, including but not limited to the right to block access from a particular IP address.

Feedback and Other Suggestions

All feedback, ideas and other suggestions submitted by you through this Platform will be treated as non-confidential and non-proprietary and may be disclosed or used by Office146 for any purpose whatsoever, without any obligation to compensate you. All personal data provided to Office146 will be handled in accordance with our Privacy Policy.

Applicable Laws

This Platform and the Materials are displayed solely for the purpose of promoting Office146’s available services. This Platform is controlled and operated by Office146 from its offices in Canada. You are responsible for complying with the laws of the jurisdiction from which you are accessing this Platform, and you agree that you will not access or use the information on this Platform in violation of such laws. These Usage Agreement and your use of this Platform will be governed by the substantive laws of Ontario. Our failure to enforce any rights under these Usage Agreement will not constitute a waiver of any terms or conditions of these Usage Agreement.

Dispute Resolution

Subject to the following clause, any claim or controversy related to these Usage Agreement or relating to this Platform will be settled by arbitration. The decision of the arbitrator will be binding on the parties. To the fullest extent permitted by applicable law, no arbitration will be joined to an arbitration involving any other party subject to these Usage Agreement, whether through class arbitration proceedings or otherwise.

Miscellaneous

If there is a determination that any provision of these Usage Agreement is invalid or unenforceable, that determination will not affect the rest of these Usage Agreement. Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of this Platform or under these Usage Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in these Usage Agreement are for convenience only.
